TERMS OF SERVICE

Welcome to Pinpoint Art Market. These Terms of Service ("Terms") govern your access to and use of https://pinpoint.shop and your purchase of products through Pinpoint Art Market ("Pinpoint," "we," "us," or "our").


By accessing our website, creating an account, placing an order, purchasing a product, participating in our Rewards Program, or otherwise using our services, you agree to be bound by these Terms and our Privacy Policy, when available. If you do not agree to these Terms, you should not use the website or purchase products from us.


These Terms apply to individual consumers. Pinpoint does not currently offer wholesale purchasing through the website.

Pinpoint sells physical products, including original artwork, enamel pins, acrylic keychains, stickers, apparel, bags, pin backings, photocards, postcards, and other products created by or associated with independent artists.


Pinpoint represents independent artists on a commission-based basis. Artists provide inventory to Pinpoint, and Pinpoint offers those products for sale to customers. Pinpoint handles customer-facing sales and fulfillment.


Artists are independent parties and are not employees, agents, or general representatives of Pinpoint solely by virtue of having their products represented or sold through Pinpoint.


2. Eligibility and Minors


There is no general minimum age requirement to browse the website.


However, anyone who is a minor under the laws applicable to them must have authorization from a parent or legal guardian before making a purchase.


By placing an order, the purchaser represents that they have the legal capacity to enter into the transaction or have obtained any required parental or guardian authorization.


A parent or legal guardian who authorizes a minor's purchase is responsible for that purchase and the minor's use of the account or website.


3. Accounts and Guest Checkout


Certain website features may require a customer account. Pinpoint may also permit customers to complete purchases using guest checkout.


Where an account is created, you agree to provide accurate, current, and complete information and to keep that information updated.


You are responsible for maintaining the confidentiality and security of your password, login information, and other account credentials. You are responsible for activity occurring through your account to the extent permitted by law.


Customers may not create or maintain multiple accounts for the purpose of circumventing purchase limits, promotions, Rewards Program rules, or other website restrictions. Pinpoint may treat multiple accounts controlled by the same person as a violation of these Terms.


Pinpoint may suspend, restrict, or terminate an account when reasonably necessary, including for fraud, abuse, security concerns, violation of these Terms, manipulation of purchase limits or promotions, or other misconduct.


Upon account termination:


Existing orders will generally continue to be fulfilled, subject to Pinpoint's ordinary order-cancellation rights and applicable law.

Unused Rewards points will be forfeited.

Pinpoint may cancel or remove Rewards points associated with fraudulent, abusive, or otherwise prohibited activity.

Provisions of these Terms that by their nature should survive termination will remain effective.

4. Products and Product Information


Pinpoint sells products supplied by independent artists and other authorized sources.


We make reasonable efforts to ensure that product descriptions, photographs, prices, availability, colors, dimensions, materials, and other information are accurate. However, product images and colors may appear differently depending on your device or display.


Physical products may also have minor variations resulting from manufacturing, printing, artistic processes, materials, or other production circumstances.


Pinpoint reserves the right to correct typographical, pricing, descriptive, photographic, inventory, or other errors at any time.


Pinpoint may modify, discontinue, or limit the availability of products without prior notice.


Certain products may be designated as limited quantity, limited edition, mixed grade, seconds, imperfect, or otherwise sold with disclosed imperfections or variations. Customers should carefully review the product listing before purchasing.


5. Pricing


All prices displayed on the website are in United States dollars (USD) unless otherwise expressly stated.


Pinpoint may change prices at any time.


A price change will generally not affect an order that has already been accepted, except where Pinpoint discovers an obvious pricing or listing error or where cancellation is otherwise permitted by these Terms or applicable law.


Prices may not include shipping, handling charges, taxes, customs duties, VAT, import fees, brokerage fees, or other charges unless expressly stated at checkout.


6. Orders


Placing an order constitutes an offer to purchase the selected products.


An automated order confirmation or receipt only confirms that Pinpoint has received the order. It does not necessarily mean that Pinpoint has accepted the order.


Pinpoint reserves the right to accept, reject, limit, or cancel an order for legitimate reasons, including:


Product unavailability;

Inventory errors;

Pricing or listing errors;

Suspected fraud or unauthorized transactions;

Abuse of promotions or Rewards;

Attempts to circumvent purchase limits;

Multiple-account activity;

Shipping restrictions;

Security concerns;

Violation of these Terms; or

Other circumstances in which fulfillment would be impractical or inappropriate.


If Pinpoint cancels an order for a reason requiring a refund, Pinpoint will refund amounts paid for the canceled merchandise in accordance with applicable law.


If an ordered item becomes unavailable, Pinpoint will provide a full refund for that unavailable item.


Nothing in these Terms limits any mandatory cancellation, refund, delay-notice, or other consumer rights required by applicable law.


7. Payment


Pinpoint currently accepts:


Credit and debit cards;

Shop Pay; and

PayPal.


Product prices and applicable handling charges may be charged immediately when an order is placed.


Shipping charges may be calculated and charged separately, depending on the order and shipping arrangements.


You authorize Pinpoint and its payment providers to charge the payment method you provide for amounts properly due.


Payment processing may be performed by third-party payment processors. Pinpoint does not receive or store full payment-card credentials when those credentials are processed directly by third-party payment providers.


8. Taxes, Duties, and International Charges


Customers purchasing from outside the United States are responsible for applicable customs duties, import taxes, VAT, brokerage charges, tariffs, or similar charges imposed by the destination country, unless Pinpoint expressly states otherwise.


Pinpoint is not responsible for delays, additional charges, or customs actions imposed by a destination country's authorities.


Customers are responsible for determining whether the products they order may legally be imported into their destination country.


9. Shipping and Delivery


Pinpoint ships internationally where an available shipping service exists through USPS, UPS, FedEx, DHL, or another carrier selected by Pinpoint.


Pinpoint may decline to ship to locations where an appropriate shipping service is unavailable.


Customers requiring shipping to unusual, remote, restricted, or otherwise specialized destinations should contact Pinpoint at support@pinpoint.shop before placing an order for a shipping estimate or custom quote.


Shipping charges may be based on factors including:


Destination;

Package size;

Package weight;

Carrier rates; and

Applicable handling charges.


When tracking is available, Pinpoint will provide tracking information to the customer.


9.1 Combined and Split Shipments


Pinpoint will generally combine shipping for orders associated with the same customer account and shipping address.


Customers may request shipment of eligible orders at any time.


Orders may be split into multiple shipments when requested by the customer or when otherwise necessary or appropriate. Otherwise, Pinpoint will attempt to ship products together when reasonably possible.


Additional shipping charges may apply to requested or necessary split shipments.


9.2 Order Holding and Storage


Pinpoint may hold customer orders for up to three months when products are being consolidated, awaiting additional items, or otherwise being held for shipment.


At or around the three-month point, Pinpoint will make a reasonable attempt to contact the customer.


If there is no response after one week, Pinpoint will make a second reasonable attempt to contact the customer.


If there is no response after another week, Pinpoint may, to the extent permitted by applicable law and subject to any mandatory refund, notice, abandoned-property, or consumer-protection requirements:


Dispose of inventory;

Destroy inventory;

Reclaim inventory;

Cancel or otherwise resolve the affected order; or

Take another reasonable action concerning inventory that Pinpoint cannot continue storing.


Nothing in this section authorizes Pinpoint to retain customer funds when applicable law requires a refund.


9.3 Shipping Delays


Pinpoint will make reasonable efforts to fulfill orders within any shipping or processing timeframe expressly stated for the applicable product or order.


Where no specific shipment timeframe is stated, applicable law may impose a maximum period within which the merchandise must be shipped or a delay notice and cancellation/refund option must be provided.


If Pinpoint determines that an order cannot be shipped within an applicable promised timeframe, Pinpoint will provide any notices, revised shipment information, cancellation opportunities, and refunds required by applicable law.


9.4 Carrier Delays


Pinpoint is not responsible for delays caused by circumstances outside its reasonable control, including carrier delays, customs processing, weather, natural disasters, strikes, transportation disruptions, government actions, or similar events.


This does not eliminate any rights or remedies that cannot legally be waived.


9.5 Risk of Loss


To the extent permitted by applicable law, risk of loss for a shipment transfers to the customer when Pinpoint physically hands the package to the carrier.


10. Damaged Packages


Customers who receive a package that appears damaged should contact Pinpoint as soon as reasonably possible at support@pinpoint.shop.


For damaged-package claims, Pinpoint may require:


Photographs of the exterior packaging;

Photographs of the damaged product;

Video showing the opening/unpacking of the package; and

Other information reasonably necessary to investigate the claim.


After review and approval by a Pinpoint executive manager, Pinpoint may offer a replacement or refund.


Any replacement will be shipped at Pinpoint's expense when Pinpoint approves the replacement.


Submission of photographs or video does not guarantee approval of a claim.


11. Returns and Refunds


All sales are final.


Pinpoint does not accept returns merely because a customer changes their mind, no longer wants an item, ordered the wrong item, or otherwise decides not to keep an item.


Original artwork is also final sale, except where a return, refund, replacement, or other remedy is required under these Terms or applicable law.


Products expressly sold as mixed grade, seconds, imperfect, damaged, or otherwise discounted due to disclosed condition are final sale based on the disclosed condition.


11.1 Wrong Product


If Pinpoint sends a customer the wrong product due to a fulfillment error, Pinpoint may provide a replacement if reasonably possible.


When approved, the customer may generally keep the incorrectly shipped item, and Pinpoint will send the correct item at Pinpoint's expense.


11.2 Defective Products


If a product is defective, customers should contact Pinpoint with details and supporting documentation.


If Pinpoint determines that the product qualifies for a remedy, Pinpoint may provide a replacement when reasonably possible.


11.3 Product Listing Errors


Products are not returnable merely because a customer believes an item differs from their expectations.


However, if Pinpoint made a material error in a product listing, Pinpoint may provide an appropriate remedy, including a refund or replacement, as determined by Pinpoint and required by applicable law.


11.4 Refund Timing


Approved refunds will generally be processed within 3–7 business days after approval or receipt of any required returned merchandise or documentation, as applicable.


Refunds will generally be made to the original payment method.


Actual posting times may vary depending on the payment provider or financial institution.


Nothing in this section limits refunds required by applicable law.


12. Order Cancellations


Customers may not ordinarily cancel an order after placing it.


Pinpoint may cancel an order when permitted under these Terms.


This policy does not eliminate a customer's statutory right to cancel an order or receive a refund where such right is required by applicable law, including rights that may arise because Pinpoint cannot timely ship an order.


13. Independent Artists


Pinpoint represents and sells products from independent artists.


Artists retain ownership of their underlying intellectual property, including copyrights and other applicable intellectual-property rights, unless otherwise agreed between the artist and Pinpoint.


Purchasing a physical product does not transfer copyright or other intellectual-property rights in the underlying artwork to the customer.


Unless expressly authorized by the rights holder, purchasing a product does not give the purchaser permission to:


Reproduce the artwork;

Scan or digitally reproduce the artwork;

Manufacture copies or derivative products;

Commercially exploit the artwork;

Sell reproductions; or

Otherwise exercise intellectual-property rights belonging to the artist or other rights holder.


Pinpoint may use artists' names, artwork, graphics, designs, product photographs, and other authorized materials to market and sell represented products, including through the website, social media, email marketing, advertising, and other promotional channels, subject to Pinpoint's agreements with the applicable rights holders.


Customers should direct purchase-related customer service matters to Pinpoint rather than contacting individual artists regarding orders.


Pinpoint is not responsible for an artist's personal statements, beliefs, conduct, or activities unrelated to a customer's transaction with Pinpoint.


14. Intellectual Property Complaints


Pinpoint takes intellectual-property rights seriously.


If Pinpoint receives a credible allegation that a product, artwork, design, image, or other material infringes copyright, trademark, or other rights, Pinpoint may immediately:


Remove the affected material;

Suspend or terminate sales of the affected product;

Disable or restrict related listings;

Withhold or suspend payments or sales proceeds associated with the affected product to the extent permitted by applicable agreements and law;

Request documentation concerning ownership or authorization;

Investigate the allegation; and

Take other appropriate action.


Pinpoint is not required to continue selling a product while an intellectual-property dispute is being investigated.


15. Copyright / DMCA Complaints


If you believe material available through Pinpoint infringes your copyright, you may submit a copyright complaint to:

A complaint should include sufficient information for Pinpoint to identify the allegedly infringing material and understand the basis of the claim, including, where applicable:


Identification of the copyrighted work;

Identification and location of the allegedly infringing material;

Your contact information;

A statement explaining your good-faith belief that the use is unauthorized;

A statement that the information provided is accurate; and

Appropriate identification or authorization showing that you are the copyright owner or authorized to act on the owner's behalf.


Pinpoint may remove or disable access to allegedly infringing material while investigating a complaint.


Where appropriate, Pinpoint may process copyright complaints and counter-notifications under applicable provisions of the Digital Millennium Copyright Act.


16. Website Intellectual Property


Except for third-party materials and content used under license or permission, Pinpoint owns or controls the rights to the Pinpoint website and its content, including, as applicable:


Website design;

Pinpoint branding;

Logos;

Original product photography;

Written content;

Graphics;

Product descriptions;

Marketing materials;

Website functionality;

Rewards Program materials; and

Other Pinpoint-created materials.


Independent artists and other third parties retain rights in materials they provide or license to Pinpoint.


You may not, without written permission:


Copy;

Reproduce;

Modify;

Distribute;

Publish;

Sell;

Commercially exploit;

Create derivative works from; or

Otherwise misuse


Pinpoint-owned website content.


Third-party trademarks, logos, artwork, photographs, fonts, software, payment-provider materials, and other third-party content remain the property of their respective owners.


Pinpoint may modify, remove, replace, or update website content, features, products, and functionality at any time.


17. Acceptable Use


You may use the website only for lawful and legitimate purposes.


You may not:


Use the website for fraudulent, unlawful, abusive, or malicious purposes;

Attempt to hack, disrupt, overload, damage, or interfere with the website;

Introduce malware, malicious code, or harmful software;

Scrape or systematically extract website content without authorization;

Use bots, scripts, or automated systems to manipulate inventory or circumvent restrictions;

Use automation to circumvent purchase limits;

Create multiple accounts to circumvent purchase limits, promotions, or Rewards rules;

Manipulate promotions or Rewards;

Interfere with another customer's use of the website;

Attempt to gain unauthorized access to accounts, systems, or data;

Use Pinpoint's website or materials for unauthorized commercial purposes; or

Engage in conduct that Pinpoint reasonably determines could harm Pinpoint, its artists, customers, employees, contractors, systems, or business operations.


Pinpoint may suspend or terminate access for violations of these requirements.


18. Rewards Program


Pinpoint may offer a customer loyalty program ("Rewards Program").


Participation is subject to these Terms and any additional Rewards rules displayed by Pinpoint.


18.1 Earning Points


Customers may earn Rewards points through qualifying purchases.


Points are calculated based on the qualifying product subtotal only.


Customers do not earn points on:


Shipping;

Taxes;

Handling charges; or

Other amounts that are not part of the qualifying product subtotal.


Pinpoint may determine which products, purchases, or transactions qualify for points.


18.2 Rewards


Rewards points may be redeemed for qualifying free products made available through the Rewards Program.


Points may not be:


Redeemed for cash;

Transferred between accounts;

Sold;

Purchased;

Exchanged for money; or

Treated as cash or a cash-equivalent monetary asset.


Rewards points have no monetary value.


18.3 Points Do Not Expire


Rewards points do not ordinarily expire solely because of the passage of time.


However, points may be forfeited upon account termination or removed when associated with refunded transactions, fraud, abuse, multiple-account activity, or other prohibited conduct.


18.4 Refunded Orders


If an order for which Rewards points were earned is refunded, the corresponding points will be removed.


18.5 Changes to Rewards


Pinpoint may change, modify, suspend, or discontinue:


Point-earning rates;

Point values;

Reward requirements;

Available rewards;

Qualifying purchases;

Rewards Program rules;

Program features; or

Other aspects of the Rewards Program.


Pinpoint may also adjust or alter the value of Rewards points.


Pinpoint may void or remove points obtained through fraud, abuse, multiple accounts, manipulation, technical errors, or violations of these Terms.


18.6 Program Termination


Pinpoint may discontinue the Rewards Program at any time.


Upon discontinuation, unused Rewards points will not be converted to cash or otherwise compensated unless Pinpoint expressly provides otherwise or applicable law requires otherwise.


19. Promotions and Discount Codes


Pinpoint may offer sales, discount codes, free-shipping promotions, limited-time offers, and other promotional programs.


Promotions may be subject to additional terms and may be limited by:


Product;

Quantity;

Customer;

Account;

Date;

Geographic location;

Purchase amount; or

Other eligibility requirements.


Unless a particular promotion states otherwise, eligible promotional offers may be combined.


Discount codes may not be sold or transferred.


Pinpoint may invalidate a promotion or discount obtained or used through:


Fraud;

Abuse;

Multiple accounts;

Technical errors;

Circumvention of promotion restrictions; or

Other prohibited activity.


Promotions expire at the date and time specified by Pinpoint.


Rewards redemptions may not be combined with promotional discounts unless Pinpoint expressly states otherwise.


If an order involving a promotional discount is refunded, the discount is forfeited and the refund will generally be based on the actual amount paid, subject to applicable law.


20. Privacy


Pinpoint collects and processes information necessary to operate the website and provide services, which may include:


Name;

Billing address;

Shipping address;

Email address;

Telephone number;

Payment-related information;

IP address;

Device information;

Order history; and

Other information described in Pinpoint's Privacy Policy.


Pinpoint may share information with service providers as reasonably necessary to operate the business, including payment processors, shipping carriers, e-commerce providers, fraud-prevention providers, analytics providers, and other business service providers.


Pinpoint may use cookies, analytics tools, pixels, and similar technologies.


Pinpoint does not sell or rent customers' personal information.


Pinpoint may send marketing communications to customers who are eligible to receive them. Customers may unsubscribe from marketing communications using the available unsubscribe mechanism or by following other instructions provided by Pinpoint.


Pinpoint's privacy practices will be described in a separate Privacy Policy and will be governed by that policy and applicable law.


A separate Privacy Policy should be published alongside these Terms.


21. Electronic Communications


By using the website, you consent to receiving electronic communications from Pinpoint.


Electronic communications may include:


Order confirmations;

Receipts;

Shipping notifications;

Account notices;

Rewards notices;

Customer-service communications;

Legal notices;

Changes to these Terms; and

Other communications related to your use of Pinpoint's services.


Electronic communications and electronic records may satisfy applicable requirements that communications or records be provided in writing, to the extent permitted by law.


You are responsible for maintaining a current email address associated with your account.


22. Website Availability


Pinpoint does not guarantee that the website will always be available, uninterrupted, secure, error-free, or free from defects.


The website may occasionally be unavailable because of:


Maintenance;

Updates;

Technical problems;

Hosting problems;

Security incidents;

Internet disruptions;

Third-party service failures; or

Other circumstances.


Pinpoint may modify, suspend, or discontinue website features at any time.


23. Disclaimers


To the maximum extent permitted by applicable law, the website, its content, and its features are provided on an "as is" and "as available" basis.


Pinpoint does not guarantee that:


The website will be uninterrupted;

The website will be error-free;

Product listings will never contain errors;

All products will always be available;

Website content will always be current;

The website will be completely secure; or

Products will meet a customer's subjective expectations beyond the representations expressly made in the applicable product listing.


Nothing in these Terms excludes warranties or rights that cannot legally be excluded.


24. Force Majeure


Pinpoint will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including:


Natural disasters;

Severe weather;

Fire;

Flood;

Government actions;

War;

Civil unrest;

Labor disputes;

Strikes;

Pandemics or public-health emergencies;

Transportation or carrier disruptions;

Customs delays;

Internet or telecommunications failures;

Utility failures;

Cybersecurity incidents outside Pinpoint's reasonable control; or

Other similar events.


This section does not eliminate obligations that applicable law requires Pinpoint to fulfill.


25. Limitation of Liability


To the maximum extent permitted by applicable law, Pinpoint and its owners, employees, contractors, affiliates, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the website or purchase of products.


To the maximum extent permitted by applicable law, Pinpoint's total liability arising from a particular product purchase or transaction will not exceed the amount actually paid by the customer to Pinpoint for the specific product or transaction giving rise to the claim.


These limitations do not apply to liability that cannot legally be limited or excluded.


Nothing in these Terms limits rights, remedies, warranties, or protections that applicable consumer-protection law prohibits Pinpoint from limiting or waiving.


26. Indemnification


To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pinpoint Art Market and its owners, employees, contractors, affiliates, representatives, service providers, and agents from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:


Your violation of these Terms;

Your unlawful or improper use of the website;

Your violation of another person's rights;

Fraudulent or abusive activity associated with your account;

Your violation of applicable law; or

Your intentional or negligent misconduct.


Pinpoint reserves the right to assume exclusive control of the defense of a matter subject to indemnification, and you agree to cooperate reasonably with that defense.


27. Dispute Resolution


The parties agree to first attempt in good faith to resolve disputes informally.


Before initiating arbitration or litigation, you must contact Pinpoint at support@pinpoint.shop and provide a description of the dispute and the relief requested.


Pinpoint will have a reasonable opportunity to investigate and attempt to resolve the matter.


27.1 Arbitration


To the maximum extent permitted by applicable law, disputes that cannot be resolved informally will be resolved through individual binding arbitration rather than in court, except where an applicable exception applies.


The arbitration will generally be administered under the applicable consumer arbitration rules of the American Arbitration Association (AAA).


Arbitration may be conducted remotely by telephone, video conference, or other electronic means when appropriate.


The arbitration will generally take place in New Hampshire unless the parties agree otherwise or applicable arbitration rules require another location.


27.2 Small Claims


Nothing in these Terms prevents an eligible individual claim from being brought in an appropriate small-claims court when permitted by applicable law and the applicable court's jurisdictional requirements.


27.3 Individual Claims Only


To the maximum extent permitted by law, disputes subject to arbitration must be brought on an individual basis.


You and Pinpoint agree that neither party will participate in a class action, collective action, mass action, or representative proceeding against the other concerning a dispute covered by this arbitration provision, except where such a waiver is prohibited by law.


27.4 Injunctive Relief


Nothing in this section prevents either party from seeking temporary or preliminary injunctive or equitable relief from a court when reasonably necessary to protect intellectual-property rights, confidential information, prevent fraud or abuse, or preserve the status quo while arbitration is pending, to the extent permitted by law.


27.5 Jury Trial Waiver


To the maximum extent permitted by applicable law, where a dispute is permitted to proceed in court, the parties knowingly and voluntarily waive the right to a jury trial.


No provision of this section is intended to waive a right that applicable law prohibits the parties from waiving.


28. Governing Law and Venue


These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles, except to the extent federal law or mandatory law applicable to a customer requires otherwise.


For matters properly brought before a court, the parties consent, to the maximum extent permitted by law, to the jurisdiction of the applicable state or federal courts located in or serving Merrimack County, New Hampshire.


29. Changes to These Terms


Pinpoint may modify these Terms at any time.


The updated Terms will become effective when posted to the website unless a later effective date is specified.


For material changes, Pinpoint may provide notice through email, website notices, account notices, or another reasonable method.


Your continued use of the website after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by law.


Unless otherwise required by law, an order placed before a change to these Terms will generally be governed by the version of the Terms in effect when the order was placed.


30. Severability


If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, where legally permitted.


If modification is not possible, the provision will be severed, and the remaining provisions will continue in effect.


31. No Waiver


Pinpoint's failure to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.


32. Assignment


You may not assign or transfer your rights or obligations under these Terms without Pinpoint's prior written consent.


Pinpoint may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, restructuring, or other business transaction, subject to applicable law.
